011. Platform Role and Intermediary Status

Vito Marketplace ("Vito", "the Platform", "we", "us") operates exclusively as a technology platform and digital marketplace facilitator registered and operating in the Kingdom of Thailand. Vito provides infrastructure for users to list, discover, and transact goods and services. Vito is strictly an intermediary. Vito is not a party to, and has no contractual relationship with respect to, any transaction, sale, purchase, exchange, or agreement made between users of the Platform. Vito does not purchase, hold, inspect, handle, verify the authenticity of, or take title to any goods or services listed by sellers.

022. Definitions

• "User" — any individual or entity that accesses or uses the Platform, whether registered or not.
• "Seller" — a User who lists goods or services for sale or exchange on the Platform.
• "Buyer" — a User who purchases or initiates the purchase of goods or services from a Seller.
• "Transaction" — any sale, purchase, exchange, or arrangement made between a Buyer and a Seller through the Platform.
• "Content" — any information, text, images, data, or material submitted to or generated on the Platform by a User.
• "Platform Fees" — charges levied by Vito for access to subscription plans, listing features, promotional tools, and other paid services.
• "Enforcement Action" — any measure taken by Vito against a User account, including warnings, feature restrictions, temporary suspension, permanent ban, or account deletion.

033. Acceptance of Terms

By creating an account, accessing the Platform, or using any of its features, you unconditionally accept these Terms of Service ("Terms") in full. If you do not agree with any provision of these Terms, you must immediately cease using the Platform. These Terms constitute a binding legal agreement between you and Vito. Vito reserves the right to amend these Terms at any time. Continued use of the Platform after amendments are published constitutes acceptance of the revised Terms.

044. User Accounts and Eligibility

• You must provide accurate, current, and complete information when registering an account.
• You are solely responsible for maintaining the confidentiality and security of your account credentials.
• You must immediately notify Vito if you suspect unauthorized access to your account.
• Each individual or legal entity may maintain only one active account unless Vito has granted explicit written authorization for additional accounts.
• Vito reserves the right to verify your identity or business registration at any time, including as a condition for continued access.
• Creating an account using false, misleading, or impersonated information is a material breach of these Terms and will result in immediate account termination.

055. Nature of Transactions — No Vito Liability

All Transactions are conducted solely and directly between Buyers and Sellers. Vito is not an agent, representative, guarantor, insurer, or fiduciary of any User with respect to any Transaction. Vito expressly disclaims any and all responsibility for: (a) the quality, safety, authenticity, or legality of any goods or services listed; (b) the accuracy or truthfulness of any listing description; (c) the ability or willingness of any Seller to deliver goods or perform services; (d) the ability or willingness of any Buyer to pay; (e) any loss, damage, injury, or dispute arising from a Transaction between Users.

066. User Obligations

• You agree to use the Platform only for lawful purposes and in compliance with all applicable laws of the Kingdom of Thailand.
• You are solely responsible for all Content you post, publish, or transmit through the Platform.
• You agree not to use the Platform to facilitate, promote, or engage in any fraudulent, deceptive, or unlawful activity.
• You agree not to circumvent, disable, or interfere with any security, access control, or integrity mechanism of the Platform.
• You agree not to use automated tools, bots, crawlers, or scripts to access or extract data from the Platform without Vito's prior written consent.
• You agree to honor all commitments and representations you make to other Users through the Platform.
• You agree to cooperate with any reasonable investigation or inquiry conducted by Vito.

077. Enforcement Actions — Hybrid Model

Vito employs a hybrid enforcement model. For standard policy violations, Vito will generally proceed through an escalation ladder: (1) formal written warning; (2) temporary restriction of account features; (3) temporary account suspension with notice; (4) permanent account ban; (5) account deletion and data removal. For serious violations — including but not limited to fraud, sale of prohibited items, impersonation, harassment, or repeated violations — Vito reserves the right to apply any Enforcement Action immediately, without prior warning or notice, at its sole discretion. Enforcement decisions are final and are not subject to any guarantee of reversal.

088. Platform Limitations — What Vito Cannot Do

Users acknowledge and accept that Vito's enforcement capabilities are strictly limited to actions within the Platform. Vito has no authority to: compel Sellers to refund Buyers, compel Buyers to pay, recover money sent outside the Platform, retrieve goods delivered or not delivered, or otherwise intervene in the physical execution of any Transaction. Vito cannot guarantee outcomes of any dispute, investigation, or complaint filed with Vito. Users assume full responsibility for the risks of transacting with unknown third parties.

099. Cooperation with Law Enforcement Authorities

Vito may, in limited and applicable circumstances and in accordance with Thai law and Vito's internal legal procedures, cooperate with Royal Thai Police, the Department of Special Investigation (DSI), or other competent authorities by providing access to relevant user data or records. Such cooperation is undertaken strictly at Vito's legal discretion and is subject to applicable laws, court orders, and procedural requirements. Vito expressly makes no guarantee, representation, or commitment that: (a) any report submitted to Vito will be forwarded to any authority; (b) any authority will investigate, prosecute, or take action based on any report; (c) any specific outcome will result from any cooperation. The decision to cooperate with authorities rests solely with Vito and relevant legal requirements.

1010. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service. Vito does not warrant that the Platform will be free from errors, bugs, security vulnerabilities, or interruptions. Use of the Platform is entirely at your own risk.

1111. Limitation of Liability

To the maximum extent permitted by applicable Thai law, Vito's total aggregate liability to any User for any claim, cause of action, or proceeding arising from or related to the use of the Platform, these Terms, or any Transaction shall not exceed the total Platform Fees actually paid by that User to Vito in the three (3) calendar months immediately preceding the event giving rise to the claim. In no event shall Vito be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, regardless of the theory of liability.

1212. Indemnification

You agree to indemnify, defend, and hold harmless Vito, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable legal fees) arising from or relating to: (a) your use of the Platform; (b) your Content; (c) any Transaction you engage in; (d) your violation of these Terms; or (e) your violation of any applicable law or the rights of any third party.

1313. Intellectual Property

All Platform content, design, technology, trademarks, and materials created by Vito are the exclusive intellectual property of Vito and are protected by applicable Thai intellectual property law. Users retain ownership of Content they create but grant Vito a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, display, reproduce, distribute, and modify such Content for the purposes of operating and improving the Platform.

1414. Amendments and Notifications

Vito reserves the right to modify these Terms at any time. Material changes will be communicated to registered Users via email or in-Platform notification at least seven (7) days before taking effect, unless immediate change is required by law or to address an urgent security or legal risk. The current version of the Terms is always available at vito.com/legal/terms. Continued use of the Platform after the effective date of amendments constitutes acceptance.

1515. Governing Law and Dispute Resolution

These Terms are governed exclusively by the laws of the Kingdom of Thailand. Any dispute arising from or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts of Thailand. The Thai language version of these Terms, where available, shall take precedence in the event of any conflict with translations.

1616. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy and all other policies referenced herein, constitute the entire agreement between you and Vito with respect to your use of the Platform.
